Digital Signature Request Terms and Conditions
Effective Date: 1st July 2023
These Digital Signature Request Terms and Conditions ("Agreement") govern the use of digital signature requests sent from our Odoo system ("System") by OCVO VISIONS PTY LTD, a company registered in Australia under ABN:37 651 497 166("we," "our," or "us"). By using the System and submitting digital signature requests, you ("User" or "You") agree to be bound by these Terms and Conditions.
1. Digital Signature Request Process:
a. The System allows Users to initiate digital signature requests for specific documents or transactions.
b. The User initiating the signature request shall be responsible for providing accurate and complete information.
c. Users may be required to authenticate their identity using the designated authentication methods before submitting a signature request.
2. User Obligations:
a. The User must ensure the accuracy and completeness of the information provided in the signature request.
b. The User shall maintain the confidentiality and security of their System login credentials and not share them with any unauthorized individuals.
c. The User must comply with all applicable laws and regulations while using the System for digital signature requests.
3. Signature Authentication and Security:
a. Digital signatures generated through the System are uniquely linked to the User and are considered legally binding as per the applicable laws.
b. Users understand that the security of their digital signature relies on the proper protection of their login credentials and should report any suspected unauthorized access immediately to OCVO VISIONS PTY LTD.
c. We employ reasonable security measures to safeguard the integrity and confidentiality of signature requests and related data. However, we cannot guarantee absolute security, and Users acknowledge that electronic communications are subject to potential interception, loss, or alteration.
4. Legality of Digital Signatures:
a. Users recognize that the legality and enforceability of digital signatures may vary based on the jurisdiction and nature of the document being signed.
b. It is the User's responsibility to ensure that digital signatures generated through the System are legally recognized and accepted in the relevant jurisdiction and by the involved parties.
5. Signature Request Verification:
a. The User acknowledges that the authenticity and integrity of a signature request depend on the accuracy and completeness of the recipient's contact information provided by the User.
b. We shall not be responsible for any delays, errors, or disputes arising from the failure of the recipient to receive or respond to the signature request.
6. Service Availability:
a. While we strive to maintain uninterrupted access to the System, we do not guarantee the availability of the System at all times.
b. We may temporarily suspend or terminate the digital signature service for maintenance, upgrades, or other operational reasons without prior notice.
7. Indemnification:
Users agree to indemnify and hold harmless OCVO VISIONS PTY LTD, its officers, employees, and affiliates from any claims, losses, liabilities, or damages arising out of or related to the use of the System for digital signature requests.
8. Modification of Terms:
We reserve the right to modify these Terms and Conditions at any time. The revised terms shall be effective immediately upon posting on the System.
9. Governing Law:
This Agreement shall be governed by and construed in accordance with the laws of Australia without regard to its conflict of laws principles.
10. Severability:
If any provision of this Agreement is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.
By using the System for digital signature requests, you acknowledge that you have read, understood, and agreed to these Terms and Conditions. If you do not agree to these terms, you must refrain from using the digital signature service provided by our Odoo system.
